Chad from Alltel Wireless Adds Galatia to His Circle

GALATIA — Chad, the Alltel Wireless spokesman, added Galatia Grade School to his circle Thursday.
His real name is Chad Brokaw and he comes from Peoria, so the four-day trip through Southern Illinois is a homecoming of sorts for the Alltel pitchman. Chad now lives in Hollywood.
In Galatia, Chad read a story, "The Grouchy Ladybug," to the kindergarten classes. In the story, the grouchy ladybug kept challenging every animal she met to a fight. The kids thoroughly enjoyed Chad's sense of humor and funny voices.
"We're reaching out to the community to say we're thankful to everyone for being such loyal customers," Chad said.
Chad has several stops in Southern Illinois. At Goreville High School, he took part in a presentation on texting while driving.
"Discouraging anything distracting while driving is an important message to get out there," he said.
On Friday, Alltel plans to shoot a commercial in Carbondale at a coffee shop. An Alltel customer from Southern Illinois and an employee will be selected at a casting call Friday morning.
"It's all about localizing our efforts and getting out in the local communities we serve," Chad said.
Chad also will attend SIU's Homecoming game Saturday to cheer the Salukis and host Alltel customers and fans at a tailgate held outside the stadium.

Marion, Ill. — Peoria native Chad Brokaw — better known as well-groomed, smiling Alltel salesman "Chad" in commercials — began a southern Illinois visit with stops in Marion, Goreville and Carbondale Thursday.
Brokaw attended a safe-driving assembly at Goreville High School, then visited with customers at the Marion and Carbondale stores.
"I wanted to make a living. I didn't dream it would become what it is," he said. "I still don't recognize what it is. The thought people want my autograph is crazy."
Brokaw took his acting, art and screenwriting skills to Los Angeles in search of a career.
The aspiring comic illustrator almost missed the Alltel chance.
"I was the last one they saw for a regular commercial," Brokaw said. "I guess they liked how I opened a store. Thirty-two commercials turned into Chad as spokesman."
He now battles four other salesmen — who have become friends in real-life — for cell phone supremacy.
"It's one crazy ride," Brokaw said. "They're down-to-earth guys. That's why it so much fun."
Commercial shoots provide room for actors to add creative touches.
"We get to do a lot of improv on the set," Brokaw said. "We have a lot of freedom while we shoot. There are so many out-takes of commercials that don't make it. We do have a good time."
Brokaw's commercial portfolio also includes a Bud Lite Super Bowl spot, Carl's Jr. and Dentyne Ice. He also was considered for the Progressive car insurance spokesperson, Flo, now played by Stephanie Courtney.
He's also working on scripts for two television shows. One, styled like ABC's comedy "Modern Family," may not make it to production due to the similar tone.
"Writing is one of my favorite things to do," Brokaw said. "Alltel provides downtime for it."
Brokaw will shoot a commercial Friday in Carbondale's Longbranch Coffeehouse featuring two southern Illinoisans as extras. One, Emily Treece, is a Herrin resident.

Fans attending Friday night’s Richmond Senior football game against Hoke County will have more reasons to cheer for the offense than just a Southeastern Conference win.
Alltel has announced that during the game, they will donate one dollar for every yard gained by the Raiders to the Piedmont Youth Football League to promote youth football in Richmond County.
“The kids playing this game at the youth level represent the next generation of high school football in Richmond County,” said Ken Erdmann, Vice President and General Manager at Alltel Wireless.
“With our ‘Yards 4 Youth Football’ program, we’ve created a unique way to partner with area high schools in an effort to help support Piedmont youth football and the future stars of local high school football.”
Richmond Senior athletic director Kevin Mabe said the school was more than happy to sign on to the program.
“Several of our high school athletes developed their passion for football by playing at an early age,” Mabe said.
“We’re thrilled to team with Alltel to promote youth football through this wonderful ‘Yards 4 Youth Football’ program and provide a venue for the company to host its ‘Alltel Night’ activities.”
The activities surround the Alltel events at Raider stadium are scheduled to begin at 7:30 p.m. on Friday night. There will be Alltel ambassadors at the stadium and fans will have opportunities at free giveaways by the wireless provider.
At the end of the game, the coaches and players of the Richmond Co Packers Youth Football team and members of the United Sports Foundation will join representatives from Alltel, Richmond Sr. High School and the Raider players on the field for a formal check presentation and remarks.
The Alltel “Yards 4 Youth Football” program is being introduced during the 2010 high school football season in ten markets throughout the wireless carrier’s footprint.
Company officials hope benefiting youth football organizations will use the monetary donation toward the costs of their programs.

Teens Get a Lesson on the Dangers of Texting While Driving

GOREVILLE -- Laughter and cheers filled the Goreville high school gym as students watched their peers put on funny skits. But the students quickly learned the subject was no laughing matter.
On Thursday, teens caught a glimpse of what could happen if you text while driving.
The assembly included state trooper bridget rice, who says teen drivers have to be very careful because they are easily distracted.
"We all know that teenagers are inexperienced drivers," Illinois State Police Trooper Bridget Rice said. "When a distraction comes up that maybe we could handle better, a teen can't really handle that as well as an adult can. Simply because they don't have the experience."
Trooper Rice says that since texting laws have passed there is actually been an increase in the number of accidents.
That is because instead of holding the phone up while driving, people texting while holding there phone down. It causes them to look down instead of looking at the road.
"To try to circumvent getting caught by doing something even more dangerous just doesn't make any sense to me," Rice said.
The teens' skits were judged by special guest "Chad" from the Alltel commercials. He says that he's happy to be part of such a huge life changing message.
"You think, 'Oh, I'll just get this done real quick' or 'I'll just do this thing really quick,'" Chad Brokaw said. "It only takes one second. You could hit somebody, you not only kill yourself, you kill somebody else. And that, I can't imagine anything worse."
Goreville Junior Shelby Miller says she won't be texting and driving and hopes her classmates don't either.
"If you ruin your life for something as stupid as texting driving which could wait 10-15 more minutes till you get out of the car, their that's a horrible way to end your life or ruin it," Miller said.

Atlantic Tele-Network Completes Acquisition of Former Alltel Assets from Verizon Wireless
Company to Continue Wireless Service Under Alltel Brand Name in Acquired Markets

SALEM, Mass., April 26, 2010 -- Atlantic Tele-Network, Inc. (NASDAQ: ATNI) announced today that it has completed the purchase of certain former Alltel wireless assets from Verizon Wireless. The total purchase price was $223 million, which includes $23 million of acquired net working capital. The purchase was funded by a combination of cash on hand and borrowings under the Company’s current credit facility. The acquisition, which was completed through the Company’s wholly owned subsidiary, Allied Wireless Communications Corporation (AWCC), includes wireless properties and licenses that serve approximately 895,000 subscribers in Georgia, North Carolina, South Carolina, Illinois, Ohio, and Idaho. The Company currently expects that these properties will generate approximately $500 million in annual service revenues during the first twelve months of its operation of the assets.
In addition, ATN announced that it has acquired a license to continue use of the Alltel name and accompanying service marks, including My Circle, in the acquired markets for an initial term of fourteen years and a total term of up to twenty-eight years. ATN may expand its use of the brand outside of these acquired markets subject to covered population limitations and certain other conditions.

Verizon Wireless was required to divest these properties as part of the regulatory approvals granted for its purchase of Alltel in January 2009. Although the Company will initially launch service to a higher number of subscribers than previously reported, a high percentage of this increased number are pre-paid subscribers, and the Company currently expects to see net attrition to the subscriber base in the first year and a higher rate of churn overall during the transition phase. The acquisition of these properties by the Company was approved by the U.S. Department of Justice on April 7, 2010, and by the Federal Communications Commission on April 20, 2010.

By granting this approval, the DOJ has determined that ATN's capabilities and experience will enable it to provide effective competition against existing wireless carriers, and that there are no antitrust concerns associated with the acquisition. Approval by the Federal Communications Commission, which is required to complete the acquisition, is still pending.
On June 9, 2009, Atlantic Tele-Network announced a definitive agreement to purchase wireless properties, including wireless spectrum licenses and network assets, serving subscribers primarily in rural areas across Georgia, South Carolina, North Carolina, Illinois, Ohio, and Idaho.

Atlantic Tele-Network Enters into $300 Million Credit Facility and Provides Update on its Pending Acquisition of Alltel Assets

SALEM, Mass., Jan 25, 2010 (BUSINESS WIRE) -- Atlantic Tele-Network, Inc. (NASDAQ: ATNI) today reported that it has amended and restated its existing senior secured credit facility, providing for the addition of a new $150 million term loan to be used to fund the Company's previously announced pending acquisition of former Alltel Corporation assets from Verizon Wireless. The amended and restated credit facility also includes a $73.9 million term loan, which is the amount of the term loan outstanding under the Company's previous credit facility and a $75 million revolving loan, which was also available under its previous credit facility. CoBank, ACB acted as administrative agent and lead arranger in the transaction.
The Company expects to borrow the entire amount of the new $150 million term loan in connection with the proposed acquisition of the former Alltel assets, which the Company currently expects to complete, subject to the receipt of certain regulatory consents, during the first quarter of 2010.
The term loans mature on September 30, 2014 and the revolving loan matures on September 10, 2014. Amounts borrowed under the credit facility bear interest at a rate equal to, at the Company's option, either (a) the London Interbank Offered Rate (LIBOR) plus an applicable margin ranging from 3.50% to 4.75% or (b) a base rate (equal to the higher of (x) 1.50% plus LIBOR or (y) the prime rate) plus an applicable margin ranging from 2.50% to 3.75%.
Alltel Acquisition Update
Based upon the most current available information, which indicates a stable subscriber base of over 800,000 post-paid and pre-paid subscribers, the Company expects annual service revenues, which excludes revenues from handset and equipment sales, from the acquired Alltel assets to be approximately $450 - $500 million for the first twelve months following the close of the transaction. Current internal projections call for EBITDA (earnings before interest, taxes, depreciation and amortization) margins from the Alltel assets to be below industry standards during that period, reflecting front-loaded transition and operating expenses. EBITDA margins are expected to progressively increase in the period and to reach more normalized levels, ranging from 20% to 30% by 2011. The Company's estimates are based on current information and assumptions and are therefore subject to change. The Company intends to provide an update to these estimates as part of its fourth quarter earnings announcement in early March.

LITTLE ROCK, Ark., Dec. 15, 2009 – Allied Wireless Communications Corporation (AWCC), a subsidiary of Atlantic Tele-Network, Inc. (NASDAQ: ATNI), today announced plans to locate its corporate headquarters in Little Rock. Atlantic Tele-Network, a telecommunications/wireless company, will invest more than $200 million through the purchase of existing wireless assets from Verizon Wireless and the refurbishment of new headquarters for AWCC on Technology Drive. AWCC currently plans to create at least 200-250 jobs in Little Rock, most of which will be highly paid, professional and technical positions.
AWCC was formed in connection with ATN’s agreement to purchase wireless properties, licenses and network assets from Verizon Wireless, as announced in June 2009. The sale of assets to ATN is expected to close in early 2010, and is subject to the receipt of required regulatory approvals. Verizon was required by the Federal Communications Commission to sell these wireless assets as part of their acquisition of Alltel Corporation. Following the closing, AWCC will provide wireless service to more than 800,000 former Alltel subscribers in six states. In addition to the 200-250 new jobs in Little Rock, AWCC will initially employ more than 500 people in those states.
Frank O’Mara, a former Executive Vice President of Alltel Corporation, was named Chief Executive Officer of AWCC in September 2009. Most recently, O’Mara served as a partner of Circumference Group, a technology investment and consulting firm which has been providing strategic advice and support to ATN in connection with this acquisition. Other former Alltel executives have been named to the corporate leadership team in the areas of IT, HR, and Administration.

It has been approximately three weeks since we announced a definitive agreement to acquire certain wireless assets from Verizon Wireless in six states, specifically certain wireless networks and customers that were formerly part of Alltel. As this is a very important event for Atlantic Tele-Network (ATN) and its shareholders as well as for all of our operating companies and employees, we wanted to provide additional insight into the acquisition and reiterate the basic principles of our strategy.
First, we continue to expect the transaction to be completed in the third or fourth quarter of 2009, as previously announced, subject to the receipt of required consents and approvals of the Department of Justice and the Federal Communications Commission. Until that time, ATN and the Alltel Trust that manages the wireless assets to be acquired will continue to conduct their independent businesses as usual. We will communicate our integration plans after the transaction officially closes, but we wanted to reiterate here our commitment to the strategies and values that set us apart and how those principles will guide our operation of these assets and our relationship to our new employees and customers after the closing.
We Will Continue to Provide an Attractive Alternative to National Carriers
- These new customers that we will gain through this transaction have always had the option to choose at least one of the very large, national carriers for service. ATN is decidedly not a national carrier and will not be replicating their one size fits all approach. Rather, the plans and differentiated service offerings currently enjoyed by these customers will stay in place. We believe that consumers want a choice, and we will ensure the resources, support and network quality to offer compelling alternatives.
- ATN has a decidedly different perspective from that of a national carrier. We believe that to win in these rural markets we need the full capability of a motivated and well-supported local employee base. We do not expect to undertake a massive “assimilation” into larger nearby operations, that would result in dislocation and staff reduction. Atlantic Tele-Network to Acquire Divestiture Properties from Verizon Wireless

Salem, MA (June 9, 2009) - Atlantic Tele-Network, Inc. (NASDAQ:ATNI) today announced a definitive agreement to acquire certain wireless assets from Verizon Wireless for $200 million. Under terms of the agreement, ATN will acquire wireless properties, including wireless spectrum licenses and network assets, serving over 800,000 subscribers primarily in rural areas across Georgia, North Carolina, South Carolina, Illinois, Ohio, and Idaho. Verizon Wireless is required to divest these properties as part of the regulatory approvals granted for its purchase of Alltel earlier this year.
Under terms of the agreement, ATN will purchase the assets for $200 million in cash. ATN expects to fund substantially all of the purchase price with cash-on-hand and borrowings under its existing credit facility. As of April 30, 2009, ATN had approximately $90 million in cash and cash equivalents, $75 million of available borrowings under its undrawn revolving credit facility, and an additional $50 million of borrowing capacity, subject to lender consent, under its term credit facility.
The acquisition is subject to customary closing conditions and regulatory approvals, including the receipt of required consents and approvals from the Department of Justice (DOJ) and the Federal Communications Commission (FCC.) ATN’s obligation to close the transaction is not subject to any financing condition. ATN expects the transaction to close in the third or fourth quarter of 2009.
